These Terms & Conditions (“Terms”) govern your access to and use of our services, website, volunteer programs, software, and other offerings (collectively, the “Services”) provided by Delta Rising Foundation (“Delta Rising,” “we,” “us,” or “our”). By using or accessing the Services, volunteering, or otherwise interacting with us, you (“you,” “your,” “User”) accept and agree to these Terms. If you do not accept these Terms, you may not use the Services.

1. Scope These Terms apply to all Users of our website, volunteers in our nursery and resilience programs, clients of our climate-tech software, and participants in our regenerative design & engineering activities. Supplemental terms may apply to specific services. Where there is a conflict, supplemental terms prevail.
   
   
2. Use of the Services You agree to comply with all applicable U.S. and California laws. You shall not use the Services for unlawful purposes, infringe third-party rights, interfere with security, upload harmful code, or misrepresent your identity. We may suspend or terminate access for violations.
   
   
3. Volunteer Services & In-Kind Contributions Volunteers agree to follow all policies and safety rules. Services are rendered without compensation, though their fair value may be recorded as in-kind contributions. We reserve the right to remove volunteers for conduct or safety issues.
   
   
4. Software, Data & Intellectual Property All intellectual property related to our software and climate-tech tools belongs to Delta Rising or its licensors. Users receive a limited license where applicable. You grant Delta Rising a non-exclusive, royalty-free license to use feedback and anonymized data for research and improvement.
   
   
5. Privacy & Data Security Our collection and use of data is governed by our Privacy Policy. We employ reasonable safeguards but cannot guarantee absolute security.
   
   
6. Third-Party Links & Integrations We are not responsible for third-party sites or services accessed through our platform. Review third-party terms and privacy policies before use.
   
   
7. Disclaimers & Limitation of Liability Services are provided “as is.” We disclaim all warranties, including merchantability or fitness for a particular purpose. Delta Rising Foundation and its team shall not be liable for indirect or consequential damages. Liability for direct damages shall not exceed the greater of fees paid or USD $100.
   
   
8. Indemnification You agree to indemnify and hold harmless Delta Rising Foundation, its officers, employees, and volunteers from claims or damages arising from your misuse or breach of these Terms.
   
   
9. Term & Termination We may terminate or suspend access at any time. Certain provisions survive termination, including intellectual property, disclaimers, indemnification, and limitation of liability.
   
   
10. Governing Law & Jurisdiction These Terms are governed by California law. Any disputes shall be brought in Orange County, California, except as otherwise required by law.
    
    
11. Amendments We may revise these Terms and post updates with a new “Last Updated” date. Continued use signifies acceptance of revisions.
    
    
12. Severability If any provision is held invalid, it shall be modified or removed while preserving the rest of the Terms.
    
    
13. Entire Agreement These Terms, along with any supplemental terms and our Privacy Policy, constitute the complete agreement between you and Delta Rising Foundation.

15. Compliance with California Law
    • California Nonprofit Integrity Act (Gov. Code §12586(e)(1)) Delta Rising Foundation complies with the California Nonprofit Integrity Act of 2004. Financial statements are prepared per GAAP and audited when required. Compensation of executive officers is reviewed and approved by an independent board or committee. Internal controls and transparent reporting are maintained.
    • Charitable Solicitation Disclosures Delta Rising Foundation is registered with the California Attorney General’s Registry of Charitable Trusts. Contributions are tax-deductible to the extent allowed by law. Our IRS Form 990 and financial reports are available upon request or from: Registry of Charitable Trusts, Office of the Attorney General, P.O. Box 903447, Sacramento, CA 94203-4470. No goods or services are provided in exchange for donations unless noted.

Delta Rising Foundation does not sell names or other personal information about our Website users and subscribers to mass marketers or any other entity, nor do we engage in exchanges of such information. We do not share donor information with other organizations. Online credit card purchases and donations are processed through a third party service provider and we do not retain, store, sell or share any of your credit card, payment-related, or other personal information.

We require our third party service providers to comply with confidentiality requirements and to not use your personal information for marketing purposes without your consent.
